Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and Live Apps SRL ("TidyAgent," "we," "us," or "our") governing your access to and use of the TidyAgent mobile application, websites, AI photo-processing services, in-app purchases, support channels, and related services (collectively, the "Service").

By downloading, accessing, purchasing credits for, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. What TidyAgent Does

TidyAgent is an iOS application for solo real estate listing-photo workflow. The Service can help you capture or import property photos, organize photos by property, store original photos, use optional AI Tidy credits to request AI-powered decluttering and enhancement of selected photos, review before-and-after results, export originals or tidied photos, receive processing updates, and, when enabled, back up certain listing data and photos through your personal iCloud account.

TidyAgent is a workflow and creative-assistance tool. It does not replace your professional judgment, legal obligations, brokerage obligations, MLS rules, platform rules, advertising rules, property-disclosure duties, fair-housing duties, or any other obligations that apply to your listing, marketing, or publication of property materials.

2. Eligibility and Apple Terms

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service. If you use the Service for business or professional purposes, you represent that you have all authority and permissions needed to do so.

The TidyAgent iOS app is licensed, not sold. Your use of the app is also subject to the Apple Media Services Terms and any applicable App Store rules. Apple is not responsible for the Service, our content, our support, or any claims relating to the Service, except as required by applicable law or Apple's own terms.

3. Your Photos and Content

"User Content" means photos, property information, metadata, notes, exports, and other materials that you submit, capture, upload, store, process, or generate through the Service.

You retain ownership of your User Content. You grant TidyAgent a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, create derivative works from, and otherwise use your User Content solely as reasonably necessary to provide, secure, troubleshoot, support, improve, and operate the Service, including AI photo processing, backup, export, fraud prevention, abuse prevention, and compliance.

You are responsible for your User Content. You represent and warrant that:

• You have all rights and permissions needed to submit and process the User Content through the Service.
• Your use of User Content and AI Results will comply with applicable laws, MLS rules, brokerage rules, platform rules, privacy rights, intellectual-property rights, publicity rights, fair-housing laws, advertising laws, and property-disclosure obligations.
• You will not upload illegal, infringing, deceptive, private, confidential, harmful, or unauthorized content.
• You will not use the Service to misrepresent a property, hide material defects, create deceptive advertising, or publish content that could mislead buyers, renters, sellers, real estate professionals, platforms, regulators, or the public.

4. AI Results Require Human Review

"AI Results" means images or other outputs generated, edited, enhanced, decluttered, restored, cleaned, transformed, recommended, labeled, or otherwise produced with AI or automated systems through the Service.

AI Results can be inaccurate, incomplete, distorted, unrealistic, offensive, low quality, delayed, unavailable, non-compliant with a listing platform's rules, or unsuitable for your intended use. AI may remove, alter, add, misplace, blur, hallucinate, misinterpret, or fail to process objects, room details, surfaces, fixtures, defects, disclosures, lighting, dimensions, colors, materials, or other image elements. AI may also produce different results for similar photos.

You are solely responsible for reviewing all AI Results before exporting, publishing, sharing, submitting, relying on, or otherwise using them. You must compare AI Results against the original photos and the actual property as needed. Do not use AI Results unless you have independently determined that they are accurate, lawful, non-deceptive, appropriate, and compliant with all rules and obligations that apply to your use.

TidyAgent does not guarantee that AI Results will be accurate, complete, uninterrupted, suitable for listing use, MLS-compliant, platform-compliant, legally compliant, commercially useful, aesthetically acceptable, free of errors, or available within any particular timeframe.

5. No Professional Advice or Guaranteed Business Outcome

The Service does not provide legal, real estate, brokerage, valuation, appraisal, inspection, architectural, engineering, construction, staging, insurance, tax, compliance, advertising, or financial advice. The Service does not verify property condition, room legality, square footage, defects, permitted use, zoning, habitability, price, value, ownership, title, disclosures, MLS eligibility, or any fact about a property.

You are solely responsible for all listing decisions, disclosures, marketing claims, professional judgments, and publication decisions. TidyAgent does not guarantee that use of the Service will improve listing performance, generate leads, increase showings, increase sale price, satisfy a client, satisfy an MLS, prevent disputes, or produce any business result.

6. Originals, Backup, and Data Responsibility

TidyAgent may save original photos locally and may allow you to export originals even if AI Tidy is not used. If iCloud backup is enabled, TidyAgent may use your personal iCloud account to help back up and restore supported listing data and photos.

Backup and restore features depend on Apple services, device settings, network availability, account status, storage availability, software behavior, and other factors outside our control. Backup and restore may fail, be delayed, be incomplete, or be unavailable. You are responsible for maintaining your own independent backups of any important photos, files, exports, records, and business materials.

7. AI Tidy Credits, Purchases, and Refunds

TidyAgent may offer consumable in-app credits. Unless otherwise stated in the app, one AI Tidy credit allows you to request AI Tidy processing for one original photo. Credits are not cash, stored value, securities, gift cards, or a deposit account. Credits may be used only in the Service and have no monetary value outside the Service.

Purchases made through the App Store are processed by Apple and are subject to Apple's payment, tax, cancellation, and refund rules. We do not control Apple's billing decisions. Except where required by law or Apple's rules, all purchases are final. If technical problems prevent or unreasonably delay delivery of purchased credits or processing requests, your remedy is limited to credit restoration, replacement processing, or refund of the amount paid for the affected credits, as determined by Apple or TidyAgent as applicable.

Purchased credits do not expire solely due to the passage of time. Credits may still be unavailable, suspended, reversed, or canceled where permitted by law if there is fraud, abuse, chargeback activity, unauthorized access, technical error, misuse, violation of these Terms, legal risk, or discontinuation of the Service.

Credits do not guarantee any particular AI Result. A credit purchases the right to submit an eligible photo for processing, not a guarantee that the output will be perfect, publication-ready, error-free, or satisfactory for your intended use.

We may refuse, suspend, reverse, or cancel processing requests where we reasonably believe there is fraud, abuse, chargeback activity, unauthorized access, technical error, misuse, violation of these Terms, or legal risk.

8. Service Availability and Changes

The Service may be unavailable, interrupted, delayed, degraded, or discontinued at any time. AI processing may depend on third-party providers, cloud services, Apple services, Firebase/Google services, network conditions, device performance, queue volume, moderation systems, security systems, and other infrastructure. We may add, remove, limit, suspend, modify, replace, or discontinue any feature, model, workflow, credit package, price, output format, export format, support channel, or part of the Service at any time, with or without notice, except as required by law.

We are not liable for any loss, claim, delay, missed deadline, failed upload, failed export, failed backup, failed restore, failed listing submission, lost opportunity, client dispute, MLS issue, platform rejection, or business impact arising from Service unavailability, AI errors, or changes to the Service.

9. Acceptable Use

You may not:

• Use the Service for unlawful, deceptive, infringing, harmful, abusive, harassing, fraudulent, or misleading purposes.
• Use the Service to hide material property defects, create false advertising, violate fair-housing laws, misrepresent a property, or deceive any person or platform.
• Upload content that you do not have the right to use.
• Attempt to reverse engineer, scrape, overload, bypass, probe, interfere with, or compromise the Service or related systems.
• Circumvent payment, credit, entitlement, rate-limit, moderation, security, or access-control systems.
• Use automated scripts, bots, or bulk tools except through interfaces we expressly authorize.
• Resell, sublicense, rent, lease, or commercially host the Service.
• Use the Service to develop, train, benchmark, or improve a competing service without our written permission.
• Threaten, harass, extort, defame, abuse, or attempt to intimidate TidyAgent, its personnel, contractors, vendors, representatives, users, or support channels.

We may investigate, suspend, limit, or terminate access if we believe you violated these Terms or created risk for TidyAgent, users, third parties, infrastructure, or the public.

10. Intellectual Property

TidyAgent and its software, design, trademarks, logos, interfaces, text, graphics, workflows, models, code, documentation, and other materials are owned by TidyAgent or its licensors and are protected by intellectual-property laws. Except for the limited license granted to you to use the Service as permitted by these Terms, we reserve all rights.

You may use exports and AI Results for your own lawful listing and marketing purposes, subject to these Terms and any rights in your underlying User Content. We do not claim ownership of your original photos.

11. Third-Party Services

The Service may interoperate with or depend on third-party services, platforms, software, models, APIs, networks, operating systems, app stores, cloud providers, payment processors, and device features. Third-party services are governed by their own terms and policies. We are not responsible for third-party services, and we do not guarantee that they will remain available, compatible, secure, or unchanged.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect information. By using the Service, you agree that we may process information as described in the Privacy Policy.

13. Feedback

If you submit ideas, suggestions, bug reports, feature requests, comments, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, commercialize, and exploit that feedback without restriction or compensation to you.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access to all or part of the Service at any time if we reasonably believe that you violated these Terms, created risk, misused the Service, engaged in abusive conduct, failed to pay, initiated fraudulent or abusive refund activity, or if we discontinue the Service.

After termination, provisions that by their nature should survive will survive, including ownership, User Content responsibility, AI disclaimers, payment obligations, warranty disclaimers, limitation of liability, indemnity, dispute resolution, and miscellaneous provisions.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, AI RESULTS, EXPORTS, CREDITS, BACKUP FEATURES, SUPPORT, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIDYAGENT DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, QUIET ENJOYMENT, AVAILABILITY, SECURITY, ERROR-FREE OPERATION, AND UNINTERRUPTED SERVICE.

TIDYAGENT DOES NOT WARRANT THAT THE SERVICE OR AI RESULTS WILL MEET YOUR REQUIREMENTS, PRODUCE ANY PARTICULAR OUTCOME, PRESERVE ALL DATA, BE ACCEPTED BY ANY MLS OR PLATFORM, BE LEGALLY COMPLIANT FOR YOUR USE, OR BE FREE FROM ERRORS, OMISSIONS, ARTIFACTS, DISTORTIONS, HALLUCINATIONS, OUTAGES, DELAYS, OR DATA LOSS.

Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to you.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIDYAGENT AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOST OPPORTUNITY; LOST GOODWILL; LOST DATA; LOST PHOTOS; COST OF SUBSTITUTE SERVICES; CLIENT CLAIMS; MLS CLAIMS; PLATFORM CLAIMS; PROPERTY TRANSACTION LOSSES; OR ANY OTHER DAMAGES ARISING FROM OR RELATING TO THE SERVICE, AI RESULTS, EXPORTS, CREDITS, BACKUP, RESTORE, DELAYS, OUTAGES, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIDYAGENT'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO TIDYAGENT OR THROUGH THE APP STORE FOR THE SERVICE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) US $100.

The limitations in this section apply to all theories of liability, including contract, tort, negligence, strict liability, warranty, statute, and otherwise. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

17. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless TidyAgent and its owners, officers, employees, contractors, affiliates, licensors, service providers, and representatives from and against all claims, demands, actions, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:

• Your User Content.
• Your use or misuse of the Service, AI Results, exports, or credits.
• Your listing, marketing, publication, submission, sale, lease, brokerage, or other use of photos or AI Results.
• Your violation of these Terms.
• Your violation of law, MLS rules, platform rules, brokerage rules, third-party rights, privacy rights, intellectual-property rights, publicity rights, fair-housing obligations, advertising obligations, or disclosure obligations.
• Any dispute between you and a client, customer, buyer, seller, renter, broker, real estate professional, MLS, listing platform, regulator, or other third party.

We may control the defense of any indemnified matter at your expense. You may not settle any matter in a way that imposes obligations on TidyAgent without our prior written consent.

18. Disputes, Arbitration, Class Waiver, and Governing Law

To the maximum extent permitted by law, any dispute, claim, or controversy arising from or relating to the Service or these Terms will be resolved by binding individual arbitration, not in court, except that either party may bring an individual claim in small claims court if eligible, and either party may seek injunctive or equitable relief in court for unauthorized use, infringement, security abuse, or misuse of intellectual property.

You and TidyAgent waive the right to a jury trial and waive the right to participate in a class action, class arbitration, private attorney general action, representative action, consolidated action, or collective proceeding. The arbitrator may award relief only on an individual basis.

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, except to the extent federal law or mandatory consumer-protection law requires otherwise. The seat and venue for arbitration or permitted court proceedings will be New York County, New York, unless applicable law requires another forum.

The arbitration will be administered by the American Arbitration Association under its consumer or commercial arbitration rules, as applicable. If this arbitration provision is found unenforceable as to a particular claim, that claim may proceed in court, but only on an individual basis unless applicable law requires otherwise.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, updating the effective date, providing in-app notice, or using another reasonable method. Your continued use of the Service after the updated Terms become effective means you accept the updated Terms. If you do not accept the updated Terms, stop using the Service.

20. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms presented in the Service, are the entire agreement between you and TidyAgent regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, financing, sale of assets, corporate transaction, or by operation of law. Headings are for convenience only.
